TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYRAAD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (B) ANY CONTENT OR CONDUCT OF ANY THIRD PARTY; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM—WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless SkyRaad, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your misuse of the Site or violation of these Terms.
17) Governing Law; Venue; Dispute Resolution (California)
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in California for any claim not subject to arbitration.
Arbitration & Class Action Waiver (Optional): Except for claims seeking injunctive relief or IP protection, any dispute arising from these Terms or the Site will be resolved by binding arbitration under the Federal Arbitration Act and the rules of JAMS or AAA (consumer rules), conducted in California. You and we waive the right to a jury trial and to participate in a class action. If a court finds this waiver unenforceable, that portion will be severed and the rest enforced.
